By accessing or using the ব্যবসায়ী platform (website, app, and related services), you agree to be bound by these Terms & Conditions. If you do not agree, please do not use the service.

ব্যবসায়ী's goal is not simply to provide software — it is to help businesses in Bangladesh operate more efficiently.

We are committed to building a long-term relationship of trust with our users, and these Terms are the foundation of that relationship.

ব্যবসায়ী is a business-management SaaS platform that provides tools for sales, stock, customer credit, purchasing, accounting, and reporting.

We reserve the right to add new features, modify existing ones, or discontinue features (significant changes will be communicated with reasonable advance notice).

We may make changes to the service for routine maintenance, security updates, and performance improvements. Where possible, planned maintenance will be communicated in advance.

To use the service you must be at least 18 years old and operate a legitimate business. You are responsible for keeping your account information (phone/email, password) accurate and secure.

Do not share your OTP, password, or login credentials with anyone. ব্যবসায়ী will not be liable for any damage or unauthorized access resulting from such sharing.

You are responsible for all activities that occur under your account.

New accounts receive a 7-day free trial with no payment method required. After the trial, you must choose a paid plan (Starter / Growth / Pro / Enterprise) to continue using the service; otherwise the account will be suspended (not deleted — it can be reactivated later). Pricing and feature details are published on our pricing page.

Price changes: if subscription prices change, you will be notified at least 30 days in advance. New pricing takes effect from your next billing cycle — any already-paid period is not affected.

You agree that you will: (a) not use the service for any illegal activity; (b) not attempt to breach system security; (c) not attempt unauthorized access to other users' data; (d) provide accurate and legitimate business information.

You are also responsible for the actions of any employees who have access to your account.

To ensure a stable and equitable service for all users:

• Abnormal, abusive, or excessive automated use (automation abuse) may be rate-limited or restricted.
• We reserve the right to restrict or suspend activity that places an excessive load on our API or infrastructure.
• Misuse of AI-powered features or attempts to exceed system capacity will be treated as a violation of these Terms.

Some features use AI or automation.

• AI-generated recommendations, analysis, or content are provided as helpful information — they are not a substitute for professional financial, legal, or business advice.
• The responsibility for all final business decisions rests entirely with the user.
• ব্যবসায়ী will not be liable for the outcomes of decisions made based on AI recommendations.

ব্যবসায়ী relies on third-party services for some features — such as Facebook, Google, WhatsApp, SMS gateways, email providers, and payment gateways.

• If any of these services are temporarily unavailable, the related feature may also be limited.
• Third-party services are governed by their own terms of service and privacy policies.
• ব্যবসায়ী is not liable for issues caused by third-party service outages or failures.

Some features may be released as Beta or Preview.

• These features may be changed, limited, or removed at any time.
• Separate support guarantees or uptime commitments may not apply to Beta features.
• We welcome feedback on Beta features — please send it to info@babosayee.shop.

All business data you enter into the platform (products, customers, sales, ledger, etc.) belongs entirely to you. We only process this data to the extent necessary to provide the service (see our Privacy Policy for details).

Your data can be downloaded in CSV/Excel format directly from the platform at any time — no permission or extra charge required.

You may cancel your subscription at any time from Settings. We reserve the right to suspend or terminate your account for violations of these Terms, fraud, or a prolonged unpaid balance.

Before permanent account deletion, you will be given a reasonable opportunity to export all your data in CSV/Excel format.

After cancellation, the account moves to an "inactive" state — see the Privacy Policy for data retention and reactivation details.

We strive to provide a reliable service but cannot guarantee 100% uptime.

The service may be temporarily unavailable due to scheduled maintenance, technical issues, or circumstances outside our control.

Where possible, planned maintenance will be communicated in advance. Emergency security updates may be applied without prior notice.

ব্যবসায়ী will not be liable for service disruptions caused by natural disasters, pandemics, war, power outages, internet infrastructure failures, government restrictions, cyber attacks, or any other circumstances beyond our reasonable control.

In such situations, we will work to restore service as quickly as possible and keep users informed of progress.

To the maximum extent permitted by law, ব্যবসায়ী and its founders/employees will not be liable for indirect, incidental, or consequential damages (such as lost profits or lost business opportunities) arising from use of or inability to use the service. Our total liability will not in any case exceed the subscription fees you paid in the preceding 12 months.

You agree to indemnify ব্যবসায়ী and its founders/employees against any claims, damages, or costs arising from your violation of these Terms or misuse of the service.

The software, designs, logo, and branding of the ব্যবসায়ী platform are owned by us (or our licensors). Your right to use the platform is a limited, non-exclusive, non-transferable license — it does not transfer ownership.

You may not use the "ব্যবসায়ী" name, logo, or brand identity without our prior written consent to promote any product, service, or communication that could cause confusion.

We may update these Terms from time to time. We will notify you of significant changes via email or in-app notification. Continuing to use the service after changes constitutes acceptance of the new Terms.

These Terms are governed by the laws of Bangladesh, and any disputes will be subject to the jurisdiction of Bangladeshi courts. [Confirm the exact legal jurisdiction with your lawyer.]
